Default FAT32 To NTFS

I have a friend who is trying to install windows XP home onto his computer and he wants to get SP2 installed without connecting to the internet, He can use another computer to download the network version (I think it's the 260mb one) but the onlt thing is the PC he will be downloading it from is Win 98 which runs of FAT32.

If he downloads it on the Win98 PC and then burns it onto a CD to put on his freshly installed Win XP Home PC will there be any conflicts because it was downloaded from a FAT32 PC and is being installed onto a NTFS PC.

I think all CD's are burned FAT for data anyways
