Create Icons for Shutdown and Reboot
If you find it annoying to access the Start Menu for shutting down or rebooting the computer, create a shutdown and reboot icon for the desktop.

Desktop Shutdown Icon
Right click on the desktop
Click [New] [Shortcut] to open the Create Shortcut Wizard
Type [shutdown -s -t 00] without the brackets.
Click [Next] and type a descriptive name of your choosing for the shortcut
Click [Finish]

Add a bit of class to the shortcut by assigning it a custom icon. Right click the shortcut, click [Properties] and select the [Shortcut] tab. Click [Change Icon] and select from the icons that are displayed.

Type [shutdown -r -t 00] without the brackets.
Click [Next] and type a descriptive name of your choosing for the shortcut
Click [Finish]

A Final Note:
If you happen to be as fanatical as I am about having nothing on the desktop, drag the new icons into the Quick Launch area of the Taskbar.
 
what about for win 98se. in the command line box it doesn't recognise 'shutdown'.

is there a way around this?

try this
Create Shutdown Shortcut Want to shut down Windows with one click instead of 4 (select Start, Shut Down, select Shut Down, click OK)? Then make a Shut Down shortcut. Right-click the desktop and select New, Shortcut. In the Command Line text box, type
rundll.exe user.exe,exitwindows
Click Next, name the shortcut something fitting, such as Shut Down or Bye for Now
then click Finish. When you're ready to shut down, just click your new shortcut
(or double-click it, as the case may be).

RESTART WITH ONE CLICK Create a Restart shortcut, right-click the desktop; select New, Shortcut; in the Command Line text box, type
rundll.exe user.exe,exitwindowsexec
And of course, you'll want to name the shortcut Restart.
