Default windows xp pro oem version?

ok why is this version priced lower than others? it says it cant do an upgrade from other versions of windows(98, 2000, xp home.) does that mean this is basicly made for a new computer or one that has been completely wiped clean?

I think you can use it to upgrade just fine. OEM means it can only be sold with hardware, retail versions can be sold without hardware.

well i found the oem version on a wholesale site and it provides a warning in the description saying it cant upgrade so thats why i was asking.
