Default Kernel32.dll Invalid page faults while upgrading from Win 98 to Win 2000 pro

I get the following msg when trying to upgrade a system from Win 98 to Win 2K pro..
Winnt32 has caused an invalid page faulr in Kernel;32.dll

It happens at the same place during the upgrade, when the update is lookg for a list of comapitble files.. it looks at the programs, the crashes when it hits System files..

Any help would be great
I've tried it 4 times.. and made sure no other programs are runniong

Try a clean install of W2K. Being that they operate with different kernels, 98=kernel32 W2K=ntkernel.
