Have the serial key but not the disk!

You could install from your friends CD and call Microsoft to request a new key. There is a utility to allow you to change the OS key after the system is up and running.

As I said, I called Microsoft, an American company and reached somebody in India (thanks for doing your part to keep Americans working Bill!), they either hung up on me or we were somehow disconnected...3 times!
