d1 error/ ethernet cause to reboot ?

I have a stand alone system that has not had access to the web. I now am ready to register the system and other programs and have found that as soon as I plug in the broadband cable from the modem to the system the "XP" system stays on for about 10 seconds and reboots, over and over again. When I unplug the broadband cable the system is stable and my error message is as follows:

I have installed a new nic card and I got it to see the network traffic however when I shut down and re booted it just started to reboot again and again.
I badly need to register XP and other programs that I have installed. the Ethernet card drivers have been uninstalled and reinstalled several times and nothing that I havedone seems to work.
Any help or ideas would be great !
