Windows will not start - New mobo/cpu/ram

OK, this one has me confused. My buddy needed a very cheap upgrade, so he got:

Athlon 64 2800+ 754
GIGABYTE GA-K8U
512Mb DDR400 Corsair Valuesect

So, we put it all together and boot up. Boots to BIOS no problem. So I think everything is fine. We change the boot sequence, run the XP CD, completely reformat and install Windows.

After Install it is going for its first boot off the hard drive, the XP loading screen starts, then it freezes, some error flashes on the screen (2 quick to read) then it restarts.

Now, I thought this was wierd, It WILL boot to Safemode. So I did that and thought maybe installing the mobo drivers would help, but it kept just giving errors trying to install the CD.

So far we have, reformatted again and reinstalled windows.

We are going to try replacing the RAM tonight and/or clear CMOS.

Anything else that might narrow it down would be nice. Any help appreciated.

Update - New RAM = No Go!!! WTF!

Edit: Update, guess wtf it was......

Bad DVD ROM!!! HTF does that keep a system from running. O well...its fixed....
