Default Trouble installing ga311 netgear network card

Ok i just got this card the netgear ga311 because i was previously using the netgear fa311.
i run windows xp pro.
i install the software for it fine, then turn off my pc, install the card turn my pc back on. tells me it found new hardware so i start the hardware install wizard and before it finishes it tells me that

it could not install this hardware (code1)
ethernet adapter
data invalid

if anyone could help me with this i would really appreciate it.
i spent 2 hours on the phone with netgear and they couldnt get it to work.

uninstall the software, then install the card. Boot into windows, and then install the drivers, then any other software.
