Random Shutdowns. Overheating?

I recently got Need for Speed: Underground. (The first one.) It's not a super new game, so I pumped up all the video settings to max. My 6600GT handled it fine and I noticed no lag at all. So I'm playing it for like 2 hours and then the whole thing just shuts off. No power surge or anything. I checked the temps. CPU: 67 C. GPU: 55 C. I let it cool of for 2 hours and played it some more. (Temps. returned to normal. An hour later, it shuts off again. I think it may be the CPU overheating. It's a 3200+ Winchester (939) overclocked from 2.0 to 2.2. I have 512MB RAM. Stock cooling.

1.) Do you think that the CPU overheating is the problem?

2.) Would getting a copper Zaleman heatsink solve the problem?
 
you might have not applied thermal paste correctly

also, maybe that crappy psu is crapping out on you?

try going back to stock settings and see what your temps are

67 is way, WAY too high

also, i XMS rams aren't really good for OCing
