OS installation problems

Just got a motherboard RMA'd, new psu & cd-rw. I'm trying to install win2k pro. Every time, whether I boot from floppy or cd, my computer automatically shuts off when setup tries to start windows. I haven't been able to install yet, mind you. When I wasn't trying to install, it would sometimes hang when verifying dmi pool data and the floppy drive light would stay on. I have no idea what's going on. Tried clearing cmos, taking out ram & unneccesary pci cards.
Hardware: Asus az78x-e deluxe, Athlon 2600+, 2 x 512 mb pc3200, WD 120 gb 7200 rpm, cd-rw, floppy.
 
well, if you've done all that I'd say either misground MBD or a faulty PSU??? See if you can swap CPU with someone (assuming you've done all the remove cards and having ONLY CPU, vid card, memory, and HDD hooked up
