CPU Heatsink and VGA Cooler decision

Which of these heatsinks is better for a AMD 64 3200+?
Keep in mind, I want a cool and very quiet CPU fan.

The fanless one is ugly (my opinion though) and wont cool nearly as well as the zalman will.

my heatsink can be a quiet as 22db, and i consider that extremely quiet.

As far as VGA cooling, is it better to go with a fanless solution or a fan powered solution?

Is there a difference in cooling, because I really like the sound of silence?
And if I replace the cooling on my X800 XL with an after market VGA cooler, will be it be silent?
