Choosing a cpu

I am not ocing the memory, I only want to get 200 on the cpu so I get a 1:1 ratio w/ the ram. I also heard the tk's were loud.

Oh, I think that is value ram (the memory I just posted)
The cpu cooler was rated for 3400+ so I think that can handle a 2400+ overclocked. Am I right?
