Default BSOD + MSI K7N2-Delta

I have just bought a MSI K7N2-Delta along with a 512 DDR 3200 and an AMD XP 2000+

there is a geforce 4 mx 440 in there with a Gig WD also attached to the machine.

When I boot the machine up it posts, but a couple of seconds after trying to load widows, it bluescreens and then reboots.

This sounds to me like memory issues.
If anyone has any suggestions, I am open to them,.

Thanks Muchly..

I tired going into safe mode but it rebooted on its way up. Does anyone agree that this is a memory issue?

I was hoping not to format the drive as it has important data (stupid i know) but I think I am going to replace my memory and hope for the best.
