MSI p4mam2v problem

I just bought this setup new , but it won't boot , no nothing except the fans run.
It is the MSI P4MAM2V mobo and Celeron 340 D CPU with ultra 2100 DDR .
I've tried resetting the bios and jumpers, also reseating the cpu and ram, i checked all the voltages and the wattage.
Any ideas??? Thanks
