Default freezing and restarts on heavier loads

Hey guys I just got a brand new computer, here are the following specs:

Case Lian Li PC-60FB Black
DDR2 Mushkin 4GBKIT XP-8000 5-5-5-15
Intel Core 2 Duo 8500
Corsair 750W CMPSU
HDD SATA 640GB WD-16MB -7200 rpm
Zalman 9700 (though atm, im not overclocking it at all)
SCGA PCI-X 4870 512 DD5 Sapphire
Samsung SATA 22x DVDRW

It just came in the mail 2 days ago (build by the "newegg of Greece" called So I fired up windows XP (it's the 32bit version and i know that the ram will only go up to 3.35GB or ram, but I thought the more the merrier) and everything was going fine, windows updates to SP3, everything was good, until i started installations of a few games i want to try out, and even watching a 720p version of my favorite tv show, the computer either freezes (no BSOD) or restarts and hangs at the motherboard splash screen until i restart it manually. I Googled it but everything says its a heating issue, but I have a decent case with a nice cooler NOT overclocked and when i watch the temperatures -- right now its sitting (with a bittorrent downloader going and firefox) at a cool 31 (core 0) and 25 (core 1). So i dont think its that. Part of me things its the its the only semi-cheap part of the build.
suggestions comments?

do a ram test called memtest86 and see if there are any problems with your memory and also check to see if everything is plugged in correctly such as RAM, HD etc.

Graphics card: Inno3D Nvidia GeForce 8800 GTS @ 640/940 (core/memory)
MB: Gigabyte GA-965P-DS3 v3.3 F12
RAM: 2 Kingston HyperX DDR2 800MHz (4GB total)
CPU: Core 2 Duo E6320 @variable rates (will fix my fan problem soon and overclock high again)
HSF: Thermalright Ultra 120 Extreme & Antec Tricool 120mm fan
PSU: Delta Serverpower 550W
HD: Seagate 400GB ST340032AS & Excelstor 80GB (both SATA)
Case: don't know what case it is but it is very crappy
Optical Drive: Lite-on 16X DVD+&- RW DL (died) using a CD-ROM drive until I get a new blu ray burner or whatever i can get

I will definately give it a try advancedgeek, thanks -- do you believe ram could be the possibility? part of me is suspicious as to why it would freeze at the mobo splash screen on startup.
