Default Will this still be compatible

I want this mobo because my old one crapped out on me but this is what I want:

Newegg.com - GIGABYTE GA-P35-DS3L LGA 775 Intel P35 ATX Intel Motherboard - Retail

I know it will be compatible with my core 2 duo e6300 but will I have any issues with my ram?

Ddr2 pc2-6400 CL 4-4-3-5
2.0 v - 2.1 v

I don't think I should but I just want some back up re-asuring before I purchase it. Btw I'm sure it is but is this a good overclocker? Thanks for the help guys.

I'm actually going to withdraw my comment on the Abit IP35-e, apparently its off Newegg... oddness, but its cheaper than your board and overclocks better (I think it looks cooler too )
