1st choice: keep LGA 775 chipset
buy another quadcore, upgrade ram, and a SSD

2nd choice: upgrade to core i5
buy cpu, motherboard, ram

3rd, keep lga 775
cpu, memory, and graphic card

It depends on what you use your computer for to be hones.

If you're a gamer then upgrading your graphics card can improve your gaming experience (I can remember paying 30 for Doom3 when that came out and 150 on a top end graphics card to play it).

If you tend to use applications more than games then increasing your RAM would be a good idea.
