What is the difference between these two processors?

Retail is the boxed version of the cpu, comes with box, stickers, and fan. The OEM version is just the proc only, no other physical differences.

Also, with OEM procs, I know Intel usually has a shorter warranty for them. You get 3 years with a retail cpu but usually just 1 year with an oem one. Some times different sellers charge shipping for OEM cpus, so double check that.
