Upgrading MOBO+CPU! HELP!!

Hi there, im looking to upgrade my crappy ASUS MOBO and i already ordered my Graphics card. So heres what it needs to be---
Price range is max of around $320 or so...
Needs---
AMD Ready
PCI-Ex16
ATX
MINIMUM of 2 184 pin DIMM slots


Don't have to be, but would be nice--
SLI/Crossfire

I'm just looking to get away from this slow P4...
It'd be nice if the MOBO was GIGABITE because i hear they are good. and havent heard anyone complain about them.

Just lookin for some input on what i should get.

I don't really like Gigabite. I think you should go with MSI (my personal favorite) or DFI (everybody else in the worlds favorite)

I know it isn't bandied about much but the Epox 9NPA+Ultra is a very good board -- though non-Sli. AnandTech.com (great online site; gave this motherboard an Editor's Choice Award; also huge post on their motherboard forums concerning this card.) and hardocp.com (these REALLY put mobos through hell and back) give high marks, as well as other numerous sites. I did tons of research and even talked to a number of people online who know their stuff and have this board and like it alot. So it is going into my new build. Check out those sites.
