Default Upgrade & New Build For Mother

I have been thinking and thinking of a way to upgrade my current computer, but for little money. My computer right now is pretty good. I built it back in may.

My Computer Specs:
2Gb Ram G-Skill DDR2-800
E6600 Intel CPU @ 2.4
Asus P5B Deluxe WI/FI Motherboard
Nvidia 8800GTS 640MB
2x Lite-On DVD-Burners
Zalman After market Heatsink
Hiper 580w PSU

Now the thing is that I plan to upgrade two things now.
4gb Ram 2x2Gb G-Skill
Q6600
I am going to do this for only $100. When I make my moms rig I am going to give her my two old parts (E6600 & 2gb G-skill Ram) and I will pay the difference if she would to buy them new.

The rig I am building her.
Newegg.com - PHILIPS 2-Tone 20X DVD+R 8X DVD+RW 8X DVD+R DL 20X DVD-R 6X DVD-RW 12X DVD-RAM 16X DVD-ROM 48X CD-R 24X CD-RW 48X CD-ROM 2MB Cache SATA 20X DVD±R DVD Burner with LightScribe - Retail
Newegg.com - Rosewill R379-SM Black/ Silver 0.8mm SGCC Steel MicroATX Slim Case Computer Case PSU ATX12V Flex 300W Power Supply - Retail
Newegg.com - Western Digital Caviar SE WD2500AAJS 250GB 7200 RPM 8MB Cache SATA 3.0Gb/s Hard Drive - OEM
Newegg.com - G.SKILL 4GB(2 x 2GB) 240-Pin DDR2 SDRAM DDR2 800 (PC2 6400) Dual Channel Kit Desktop Memory - Retail
Newegg.com - GIGABYTE GA-73VM-S2 LGA 775 NVIDIA GeForce 7050/nForce 610i Micro ATX Intel Motherboard - Retail
Newegg.com - Intel Core 2 Quad Q6600 Kentsfield 2.4GHz 2 x 4MB L2 Cache LGA 775 Quad-Core Processor - Retail
But I will pay the difference for the Q6600 and the 2x2gb of ram.

So she will have these instead:
Newegg.com - Intel Core 2 Duo E6600 Conroe 2.4GHz 4M shared L2 Cache LGA 775 65W Dual-Core Processor - Retail
Newegg.com - G.SKILL 2GB (2 x 1GB) 240-Pin DDR2 SDRAM DDR2 800 (PC2 6400) Dual Channel Kit Desktop Memory - Retail

Is this a good trade off for the both of us.
Do you think that the build I am making her is going to be sufficient. Just a run on the mill computer that will run xp sp3. Also do you think that case PSU at 300w will be sufficient for the motherboard.

haha that sounds like what happened when i built my mom an "office computer" from my old 4200 and previous parts.
yeah dude totally that will be more computer than she will likely ever need.
nobody here is going to okay using a case psu, i dont think. get a cheap FSP or similar, they are ok.
as a matter of fact, here's a 400W for less than 40 bucks:
Newegg.com - FSP Group ATX400-PA ATX12V 400W Power Supply 110-127/220-240V UL, CSA, TUV, NEMKO, CB & FCC - OEM

The problem is that the Psu is the wrong size for the case. Should I just get a midtower case for her with that PSU. That is what I picked out for her before, but I thought she would like a very slim computer.

Also I was thinking that I should get the e8400 and not the Q6600. This would be a better choice since I am a gamer, but I like to build maps for UT3. Would the Q6600 be better for compiling or the e8400. I plan to over clock the Q6600 to 3.6ghz and the e8400 to 4.0ghz. Which would be the better choice.
