Default Suggest motherboard and components for me..

Hey all..
I've been hunting around for a new motherboard etc. for a while..
Tried to find a set on my own, then asked two professionals...but they aren't exactly what I'm looking for...
If someone helps me find some worthwhile equipment, I will compensate them for their time when I buy the equipment..

I don't have many specefic requirements, but here they are:
  • Looking for a ~2.66 GHz processor that can be OC'd to 3.33 GHz
  • Need an 8x AGP slot, since I do not want to spend ~$200 on a new graphics card (have a GeForce 6600 GT 256 MB)
  • 1 gig of RAM (2x512)
  • At least 4 USB 2.0 slots
  • Heatsink/Fan worthy of OCing (Air cooling only)
  • Need Room for AT LEAST: 2 cd-rom drives and 2 Hard Drives

The PC is going to be for gaming and for heavy duty programs (IE Photoshop, Flash, a few Firefox's and Dreamweaver all running at the same time seamlessly)

So I'm looking for a:
Motherboard
Processor
RAM
Fan/Heatsink

in about the range of ~$300-$350
a little over is fine..

Thanks for help in advance.

I've heard the Pentium D 805 is good for overclocking. And it's only about a $100.

I'd prolly go with this RAM:

$80

I have this heatsink/fan. It keeps my PentiumD940 around 10-15 degrees celcius cooler than the stock heatsink/fan. I didn't over clock though. I have heard good things about Zalman aswell. I almost got a Zalman one over my thermal take one, but the thermal take was cheaper
