Suggest motherboard and components for me..

Hey all..
I've been hunting around for a new motherboard etc. for a while..
Tried to find a set on my own, then asked two professionals...but they aren't exactly what I'm looking for...
If someone helps me find some worthwhile equipment, I will compensate them for their time when I buy the equipment..

I don't have many specefic requirements, but here they are:

  • Looking for a ~2.66 GHz processor that can be OC'd to 3.33 GHz
  • Need an 8x AGP slot, since I do not want to spend ~$200 on a new graphics card (have a GeForce 6600 GT 256 MB)
  • 1 gig of RAM (2x512)
  • At least 4 USB 2.0 slots
  • Heatsink/Fan worthy of OCing (Air cooling only)
  • Need Room for AT LEAST: 2 cd-rom drives and 2 Hard Drives

The PC is going to be for gaming and for heavy duty programs (IE Photoshop, Flash, a few Firefox's and Dreamweaver all running at the same time seamlessly)

So I'm looking for a:
Motherboard
Processor
RAM
Fan/Heatsink

in about the range of ~$300-$350
a little over is fine..

I've heard the Pentium D 805 is good for overclocking. And it's only about a $100.

I have this heatsink/fan. It keeps my PentiumD940 around 10-15 degrees celcius cooler than the stock heatsink/fan. I didn't over clock though. I have heard good things about Zalman aswell. I almost got a Zalman one over my thermal take one, but the thermal take was cheaper :)
 
k few things here. the old intels, as in the ones before the Conroes are, well shatty. and are not worth it. and your not gonna get good performance from it from raw speed. and the ram you picked is not good for overclocking

you will also want some thermal paste, Arctic Silver 5 is a great choice and its aoubt $5 or something cant remember american price
