Question about compatability?

I've just ordered this motherboard for my upgrade:

Newegg.com - GIGABYTE GA-P35-DS3R LGA 775 Intel P35 ATX Intel Motherboard - Retail

I want to use my old Zalman CNPS7000B-Cu heat sink instead of the stock one that comes with the retail box of the E4400.

I know that I need to buy this kit for it to work with LGA 775 boards:

What worries me are all those barrel transistors next to the CPU socket. Am I going to have a problem or will this adapter fit? Anybody have the same setup?
 
From the picture of the screws, it looks like the clip will be on top of those gold standoff screws. Which should give a lift to the clip, in order to clear the capacitors, surrounding the CPU socket.
