I like some things you've got but not others.
Firstly ive heard that the ASUS mobo isnt as good as this one from MSI (platinum or normal) -

Also people will probably say its more worthwhile to get hold of the E6600 rather than the E6400 as it will step the build up alot in terms of performance and overclockability.
Cannot argue with the RAM you've chosen tho or the graphics card.
But not a bad build all in all.
 
The PSU Depends on the Brand really...usually 450w will handle an 8800GTS but still it has to be a good stable one with enough Amps on the rails.
 
that depends...your biggest requirement would be a total of 26amps on the +12v rail for the 8800gts.

Also, id suggest getting the 16mb cache version of the HDD you picked if you can spend the extra money.

I don't think the sound card would be any better then onboard. So if you can't afford the 16mb cache HDD, then you can if you drop the soundcard.

edit: agreed with sora...the psu should be a good brand also for reliability. If the psu goes it could hurt part or all of the system which would be bad :p.

Actually I have the exact same soundcard becuase vent couldn't handle Realtek 97 on my old PC and I bought it at walmart for $30 bucks.

I was going to use my 965PT's onboard orignally thinking it would be better but after hearing it I instantly put my Audigy SE into my new computer and it is quite a difference. It may not be X-Fi quality but what makes those more epxneisve too is the hardware acceleration for games. The sound quality is comparable I think.
