i need new mobo and cpu

ok my last question is, WHAT ARE THE CHANCES that IF I SWITCH THE MOTHERBOARD and do the WINDOWS INSTALLATION RESTORE, that I WONT HAVE TO REFORMAT?

one is OEM and the other is retail?

OEM doesn't come in a proper box, and doesn't come with a heatsink or fan.
