Thanks for the responses guys. Appreciate the help. Is it worth it to get the e6420 or the e6320? And one other what about the 8600 gts vs. the x1950xt

The X1950XT is much better than the 8600GTS.

Both the e6320 and e6420, have around the same overclocking potential...but the e6420 can get there a little easier, with the higher multiplier. It's only $20 more...but if you want to save $20, then e6320.

You can do liquid cooling if you want, just make sure to buy a full tower case with room. Koolance make some great external liquid cooling kit. Check them out.

If you need a monitor, speaker and keyboard/mouse you might go over your budget. These plus the after market air cooling would probably cost you $250 to $300 more but you can lower your system spec to fit your budget.
