No. You will need a 64bit operating system to 'see' all the memory. Either XP 64bit or Vista 64bit is fine, but it will only read about 3.5gb of memory if you only have 32bit.
When 32 bit systems were designed it was not seen as an issue becuase they had no where near that amount at the time. That is one of the uses for 64bit, it can access millions of gb, seriously.
It probably wont be a problem on 32bit, however, i have heard of instablity issues. You might be better off going for 2gb of 800mhz ram, but if you have bought it already its probably fine. I know of other people running 4gb (really ~3.5) under XP 32bit and they are fine.
