Help with Core 2 Duo build OC'd

I've been upgrading my aging Athlon XP 2000+ System.

I've moved up the monitor, optical drive, Hard drive, case, and PSU over the last 6 mos. Because the mobo's too old, I'm going to have to to the major replacements here soon: CPU, Mobo, GPU and RAM.

My goal is to find the sweet spot for price/performance. From what I've read, an OC'ed e6400 sounds to be perfect.

My first thought:

$224 - E6400 Core 2 Duo
$175 - Foxconn 975X7AA-8EKRS2H Intel 975X MB
$209 - OCZ Tech Gold PC2-6400 (2 x 1GB)
GPU?? (thinking of waiting until some better/cheaper revisions come out of DX10)

Comments? How much OC'd can I do on E6400 with these components? Should I get an retail HSF to cool down the CPU?
 
Motherboard, I would suggest ds3, or p5w I think it is. Not that foxconn.

G skill makes some good ram, ddr2 800mhz.

Then you would be able to easily hit 3.0ghz.
 
3.2ghz is also very easy to hit. most people say they can do it with stock voltages but i doubt its actually "stable". mine is at 1.33...something like that. Games havn't crashed either.
