does the gigabyte GA-965p s3 for intel core 2 duo's mobo use a fanless design ?
and is this mobo good for overclocking core 2 duo E6300?

For the Fansless design, yes. For OCing, only you will know or someone else who did will tell you.

im petty sure if it's based of the DS3(same chipset) it should overclock nicely. im too lazy to check if it's based off the DS3
