CPU Upgrade Question

OK, I am planning on upgrading my computer realllly soon now, and had a question about which processor to get.

I am trying to decide between the AMD Athlon 64 x2 4400+ toledo

and the AMD Athlon 64 x2 3800+ manchester...

would the 4400+ be worth the extra $170?

As for rest of the system:
Upgrading video card to a BFGTech 7800GTX.

Already have 2GB PC3200 ram
550W PSU

It's up to you to decide whether or not it's worth the price hike. For me, no. It's not even close to being worth it. But on the flip side, if money isn't a big issue with you, then go for it.

The X2 4400+ is only worth more money because it gives you twice the L2 cache, not a very big deal. Otherwise, you can overclock the 3800+ to rival a 4400+ and much much farther.

OK then, how would I go about overclocking the 3800+ to 4400+? Or better even?
