so now i'm down to 250 for OS and Mobo.

I'd like to get him PRo x64 but i'm sure he won't care what he really gets...it's just that i could get it for $120 roughly leaving around 150-170 for mobo w/ XP pro-64 and around 200 for the mobo if i get him XP home. what do you guys think?

also if i need new ram for compatability could you please help me w/ that. i'm not familiar w/ intel-based mobos so i don't know what's good.

Your best best in that price range is the Gigabyte DS3. It is a great board for the price, although it has been a little picky with memory. The link you have for your RAM is not working for me.
