Pretty much the same, tiny bit more, but a black chip which will overclock well and probably unlock to a quad.

Newegg.com - MSI 880GM-E43 AM3 AMD 880G HDMI Micro ATX AMD Motherboard
Newegg.com - AMD Phenom II X3 715 Black Edition Heka 2.8GHz 3 x 512KB L2 Cache 6MB L3 Cache Socket AM2+ 95W Triple-Core Desktop Processor HDZ715WCJ3DGI - Processors - Desktops

That should be good... My AMD skkillz ain't great so i'd love a second opinion.

Its a crappier motherboard, 740 vs a 880.

I've never really understood a Athlon x4 vs Phenom x4 so some one else has to answer that part.

I gotta give you a high five, i also have a Dell Dimension E310, check out this thread, it's what I'm thinking of buying, and I think that the motherboard can handle 4GB, I'm not sure though.

What do ye think of this upgrade?

This will cost about $326

haha nice.. yea this computer still runs in perfect condition, well managed and everything but. It has just gotten to that point.... I can't even watch hd videos without them being choppy and stuff it sucks. Also I think I'm going to save up a bit more money for a higher budget of like 500-600 dollars. That would be nice.
