Default Upgrading Motherboard and CPU

My current system specs are

3 Gig of DDR2 ram
MSI K8-Neo Premium Motherboard
AMD Anthlon 3200
9600GT PCI-E

i'm trying to upgrade my processor but since they no longer make the socket my motherboard has so i have to upgrade my mother board too. Im looking to spend around $300 total any suggestions?

those would be a good upgrade, and would allow you to reuse your ram and gfx card, and really anything else youre currently using.

that would still leave you with some extra money, so you could still upgrade some other things.

Are you sure that's not a K8 Neo Platinum? There is no K8-Neo Premium. The K8 Neo Platinum is a s754 mobo, and if that's what you have I sympathize... it was great when it came out but it is extremely slow by today's standards.

All K8 mobos use DDR RAM, not DDR2.
