upgrading mobo/cpu, best bang for buck?

I want to upgrade my PC. I had it built by a friend a couple years ago and its starting to age. I want to upgrade my cpu and motherboard and want something decently fast for some online gaming but affordable. If I upgrade this stuff can I keep my ram and all and just plug it right in?
I searched newegg but honestly after the basic specs im lost. I wanna spend max 300 bucks.

I don't know about the motherboards but, you can get an 4000+ Brisbane (which is about 2.1GHz) about $70 on Neweggs along with a new motherboard would be probably under $300. Since you won't be spending any money on your other computer components.
