Ok my motherboard says it has onboard lan/audio

I have a sound blaster live 5.1 sound card and a network card which both take up pci slots.
So on my current mobo I am using about 4 pci slots.
If you read the specs, the mobo I am upgrading to has only 3 pci slots.
I am currently using 2 additional fans that take up pci slots.
One for my video card and one for system exhaust.
I was wondering if Onboard lan/audio would eat up my systems memory the same way onboard video does.
Onboard audio quality can't be too bad right?
