OEM just means that it doesn't have the box.

At least that's what I was told...

It comes with everything that you need, except the box.

the 3700+ is better than the 3500+ right? cause the 3500+ is $20 more than the 3700+.

OEM CPUs do NOT come with the heatsink or fan.

Check if they are the same socket, same amount of cache etc.

OEM procs do NOT come with the HSF, proc only.
Check what core the procs in question use, the Venice core is less powerful than the San Diego.
