New Motherboard Cheaply

I'm just now going about upgrading my computer, and the most important thing currently is the Motherboard and CPU. I Currently have an AMD Athlon 64 Processor 3500+. I just now saw that at this store near here, Fry's, is selling a
Intel Core 2 Duo Processor E6550 & ECS 945GCT-M/1333 Motherboard for $120. I have very, very little knowledge of computers, so I'm just looking for some input as to whether this is a good Motherboard or deal. I have about only 120-160, and I was hoping to spend some of that on ram.
