Default New Build

What do you guys think of my new build? Any suggestions or experience with these? What would you change on about a $500 budget. (I already have a GPU) I will be overclocking as well. (Little scared about it)

AMD Opteron 146 or San Diego 3700?
AsRock 939sli32 esata
Samsung SpinPoint 250 Gb Sata2
XCLIO XClio 450BL 450W Power Supply
Cooler Master Centurion 5 CAC-T05-WW

Here is some RAM that I am debating:
Which one would be the best or any others within the $90 dollar range?

2x512 dual channel
Corsair XMS
Crucial Ballistix
Kingston Hyper X

I appreciate anyones help and I have already learned a lot from this site. Thanks

About the RAM, I'd get the XMS.
