Need new mobo and/or CPU

My computer keeps turning off and it's probably my mobo and/or cpu.

Need recommendations on replacing my mobo and cpu while being able to reuse all my other stuff. I'd like it to have almost the same performance level. I'm using windows XP Pro 32bit if that's of any importance. If i go AMD do i need a 64bit OS?

I was looking at an Asus A8v Deluxe with AMD 3200+

replacing P4 3.2Ghz and an Asus P4S800 Mobo.

reusing 7600 GS AGP videocard, IDE dvd drives, IDE HDD, 2x 512mb DDR-ram.

PS:I'm from the netherlands so i can't buy from newegg. I use Tweakers.net Pricewatch Prijzen but feel free to link newegg links and i'll search for it myself. I don'tthink many stores here do cpu mobo combo's.

Well it's an old computer so the cheaper the better. I was thinking around 50 euro's but it can go higher if necessary. The trouble is that it has to have an AGP slot. And if I go AMD it's almost impossible to find a socket 939 mobo these days.
