All companies are given the same chip to work with the gfx chip in the msi started out the same way as the Asus the difference comes in Factory clocking and cooling method. There are also minor discrepancies in each chip making identical cards by identical models and companies have different potential overclock stable speeds.
overclocking increase the temperature of the card so the active cooling will be better unless you have very high air flow in your case already with a low ambient temperature (ask most people here and you will find that in the winter you can push it that little bit more then in the summer due to temps)
