Actually a new motherboard is a major upgrade and he'll have to reinstall windows for the new motherboard. The drivers and such won't be compatible, or he can do a repair install to keep his files.
 
Actually, no. This allows you to change a mobo out without reinstalling.

I used the Sysprep method on my wife's brother-in-law's computer. Swapped out the mobo, CPU, and GFX card all at the same time... went from a Compaq nForce2 socket A to a PCChips A31G SiS 741GX socket 754, AGP ATI 9200 to a PCI-E ATI X1600. XP installed the appropriate drivers and kept on trucking. I had to activate it again, but that was not a problem.
