the memory's good. But I'd double check the processor. It's the right kind, but I'm afraid it might be too high for your motherboard to support. Trotter seemed to indicate that the 2.8 would basically max out your system.

okay, well after googling your system specs it looks to me like the 3.06 is the top one supported, and it should work fine.

The mobo only supports up to 533MHz FSB. That 3.06GHz P4 has a 800MHz FSB.
