This Vista OS has a free Win 7 upgrade and is cheaper than Windows 7, is there a reason I would pay more for the Win 7?

You can have a clean install of W7, otherwise you have to install Vista and then upgrad it to W7. I agree with Slaymate, I would buy the W7. I prefer the clean install myself.

By the way, what's the main purpose of the computer? Video editing, etc? I'm asking this because if you're doing video editing, for example, you should consider buying a i7 860 since it has hyperthreading.
You may consider this combo for the i7 860:
# Intel Core i7-860 Lynnfield 2.8GHz LGA 1156 95W Quad-Core Processor Model BX80605I7860 - Retail
# 295367ASUS P7P55D EVO LGA 1156 Intel P55 ATX Intel Motherboard - Retail
# 295367Seagate Barracuda ES.2 ST31000340NS 1TB 7200 RPM SATA 3.0Gb/s 3.5" Internal Hard Drive -Bare Drive
# 295367Thermaltake Armor+MX VH8000BWS Black Aluminum / Steel ATX Mid Tower Computer Case - Retail
