I do believe that the 940 doesn't support DDR3, but I could be wrong? Their whole board setup with sockets just confuses me. I think you have to get an AM3 chip for DDR3. I just read a few reviews on Newegg, and it's said that it (motherboard) will not support the 940. I can't say if the reviews are right or not. Socket type IS different though.

^^^ You're right. this one is an AM3 chip:
Newegg.com - AMD Phenom II X4 945 Deneb 3.0GHz 4 x 512KB L2 Cache 6MB L3 Cache Socket AM3 125W Quad-Core Processor - Processors - Desktops
$35 more.

If you are willing to go another $20 beyond the 945 there is this one:
Newegg.com - AMD Phenom II X4 955 Black Edition Deneb 3.2GHz 4 x 512KB L2 Cache 6MB L3 Cache Socket AM3 125W Quad-Core Processor - Processors - Desktops

Of course, you could keep the 940 and go for this mobo and RAM:
Newegg.com - BIOSTAR TFORCE TA790GX A2+ AM2+/AM2 AMD 790GX HDMI ATX AMD Motherboard - AMD Motherboards
Newegg.com - G.SKILL 4GB (2 x 2GB) 240-Pin DDR2 SDRAM DDR2 1066 (PC2 8500) Dual Channel Kit Desktop Memory Model F2-8500CL5D-4GBPK - Desktop Memory
That would save you $33 right there.

I would not buy Vista, as Win7 will be out soon. Download the Release Candidate for it and use it, then buy it once it is released. It will save you some dosh for now.

oh, and use NewEgg for your purchases. The price difference is minimal at best... but the customer service put TD to shame.

hi, you could also try these:

get the am3 phen II x3 comboed with the mobo you originally chose, this will still give you the option to upgrade to better am3 cpu's later

Newegg.com - Computer Parts, PC Components, Laptop Computers, Digital Cameras and more!

and this ram:

Newegg.com - OCZ Platinum 4GB (2 x 2GB) 240-Pin DDR3 SDRAM DDR3 1600 (PC3 12800) Dual Channel Kit Desktop Memory Model OCZ3P16004GK - Desktop Memory

edit: and also like mentioned, get win 7 and save money.

2nd edit: also, i personally wouldn't buy an open box gpu, idk why i just wouldnt. consider gettin this card instead its $10 less too.

Newegg.com - XFX HD-485X-YDFC Radeon HD 4850 512MB 256-bit GDDR3 PCI Express 2.0 x16 HDCP Ready CrossFire Supported Video Card - Desktop Graphics / Video Cards

Absolutely agree with Trotter here on the Windows. You can save some dough right now, buy going with Windows 7. It's free for a year, so you could save up the money, and buy it when it comes out, which if I recall correctly, comes out in September of this year. Even in it's RC phase, it still puts Vista to shame, in my honest opinion.

The 720 is suppose to be one bad*** chip. If you're dead set on going with the AM3 socket, and DDR3, these choices would be excellent. As for the graphics card, go with the XFX. I personally trust them over Sapphire, but I have yet to use their newer cards. Any of the products listed here, are great buys, and these guys can definitely help with what ever you need.
