I'd save a couple of bucks and go with the E6300... the Ghz difference can be made up by overclocking slightly and you have the 6400. also, unless you plan on upgrading later on to a DX 10 card like the 8800 series or the soon to be ATI R600 series, the PSU is overkill for this system a decent 500-550W would work as well and also save. with that said, If you don't NEED a sound card (as the onboard audio is pretty good) then you won't have to buy a card.

Dell 4K S2817Q / Logitech Z-680 / Func MS3 Mouse / Corsair K70
NZXT Source 530 / i7-3770K / Corsair H100 / ASRock Z77 Extreme4 / SoundBlaster Recon3d
Samsung 850 PRO 512GB SSD/Seagate 1TB/2TB/WD 2TB
4x4GB Corsair Vengeance 2133 / PNY GTX 980 ti/ Seasonic M12II 850W

Thanks Nukem, with the $35 rebate on Tiger Direct for the GameXtream power supply, id rather go with that now and not have to worry about it later. I might ditch the sound card though, for now. Also, i might just stick withthe E6400, as its only about 20 dollars more expensive.
