Default Building a PC with a budget... (Need Feedback)

So heres the build i have setup, and am thinking of purchasing but..I have a budget which WAS $300, but its now $415.

Due to the fact that i need power, and with power comes a cost. I want to be able to mid range game, which by that just have fun with simple games like FEAR, or Counter Strike, or COD 4. Games like that.

I have a PNY VERTO GeForce GT 220 atm. (1024mb DDR2). Already bought, from BestBuy.

But heres what i have picked out for what i need. I can salvage a HD and such from my current PC to save cash.

Build:
AMD Phenom II X4 940 Black Edition Deneb 3.0GHz 4 x 512KB L2 Cache 6MB L3 Cache Socket AM2+ 125W Quad-Core Processor HDZ940XCGIBOX
BIOSTAR A785G3 AM3 AMD 785G Micro ATX AMD Motherboard
DDR3, ATI Radeon HD 4200, AOD ACC, HD 1080P Ready

Crucial Ballistix Tracer 2GB (2 x 1GB) 240-Pin DDR3 SDRAM DDR3 1333 (PC3 10600) Desktop Memory w/ Red & Green LEDs Model BL2KIT12864TN1337
XCLIO Windtunnel Fully Black Finish 1.0 mm SECC Chassis ATX Full Tower Computer Case

I would say get a different case and save some money unless you have your mind set on that case here is a good one for less and you can have up to 9 120MM mounted.

Newegg.com - COOLER MASTER RC-692-KKN3 CM690 II Basic Black Steel ATX Mid Tower Computer Case

Here is another that is very cheap and also can be easily modded. There are several different colors just browse if you don't like the red.

Newegg.com - COOLER MASTER Elite 310 RC-310-RWN1-GP Black / Red SECC ATX Mid Tower Computer Case

you need an am3 cpu. this one is closely priced to the x4 940.
Newegg.com - AMD Phenom II X4 925 Deneb 2.8GHz 4 x 512KB L2 Cache 6MB L3 Cache Socket AM3 95W Quad-Core Processor HDX925WFGIBOX

and that 2gb kit of ram you listed for $80 is unnecessary. this kit is cheaper, runs at the same speed and timings, and will work just as well.
Newegg.com - Crucial Ballistix 2GB (2 x 1GB) 240-Pin DDR3 SDRAM DDR3 1333 (PC3 10600) Desktop Memory Model BL2KIT12864BN1337

and this psu instead.
Newegg.com - Antec NEO ECO 520C 520W Continuous Power ATX12V v2.3 / EPS12V 80 PLUS Certified Active PFC Power Supply
Newegg.com - Crucial Ballistix 2GB (2 x 1GB) 240-Pin DDR3 SDRAM DDR3 1333 (PC3 10600) Desktop Memory Model BL2KIT12864BN1337
