I would suggest you replace the CPU, motherboard, graphics, power supply, and RAM....with these:

Canada Computers - CPU > Desktop Intel Processors : Intel Core 2 Duo E6550 Socket LGA775, 2.33 GHz, 1333 MHz FSB, 4MB L2 Cache, 65nm (Retail Box) BX80557E6550).
Canada Computers - Memory > DDR2 PC2-6400 800MHz + : Crucial Ballistix (BL2KIT12864AA804) DDR2 800Mhz PC2 6400 2GB Kit (1GB x 2) 240-pin .
Canada Computers - Motherboards > Socket LGA775/T : Gigabyte GA-P35-DS3R Socket 775 Intel P35 + ICH9R Dual-Channel DDR2 1066/800/667/533Mhz GigaLAN 8-Channel Audio Support 1333Mhz FSB.
Canada Computers - Power Supplies/Equipments > Desktop PSUs : Corsair HX Series CMPSU-520HX 520W ATX Triple Power Supply 120MM Fan 12V 50A Continuous 24PIN ATX Modular .
Canada Computers - Video Cards > PCI-Express Cards > Powered By nVidia : XFX GeForce 8800GTS nVidia 8800GTS Chipset (560Mhz) 320MB (1300Mhz) DDR3 Dual DVI PCI-Express Graphics Card.

If you have a budget like that, it would be better to go for a Intel Core 2 Duo, as they are more powerful at the moment.

You don't need PC2-8500 ram, when for cheaper, you can overclock that Crucial from PC2-6400 to PC2-9600. And it can overclock there, quite easily.

A 700W power supply is unnecessary, and too much power for your system. It's not about the wattage that determines the power of the power supply. It's the amount of amps. The one I suggested, can easily power that rig, being cheaper as well.

The 8800GTS 640MB, has no significant advantage over the 320MB. Reviews have shown that you only gain about 1-5fps in games. So save yourself the money, and upgrade to a better series later.

That's the price the 320MB is suppose to be at. Unless you're talking about the 640MB 8800GTS, then that's a whole different story.
