Welcome to Tech-Forums!

(Haven't seen you around) Well anyways, a budget of $400 can get you a motherboard, processor (preferably AMD since they're for budget builds), maybe 2GB of RAM and a decent VGA.

I don't know much about AMD's but I heard the Athlon 64 X2 4000+ Brisbane is a fine overclocker. 2GB of RAM, maybe some G.Skill or Crucial Ballistix DDR2 800. The 7600GT would do fine for decent gaming even though it's a low-end card, it's serving me well.

What are you planning on using this computer for?

Anyway heres a $400 build, with the intention of general use:

Case - Rosewill R5604
Motherboard - Biostar TForce TF7025-M2
CPU - AMD Athlon 64 X2 4000+ Brisbane 2.1GHz 2 x 512KB L2 Cache
RAM - 2 x 1GB G. Skill DDR2-800 NQs
Power Supply - FSP (Fortron Source) 400w
Hard Drive - Western Digital RE 160GB
Optical Drive - Sony NEC Optiarc

Total is just under $400 w/o shipping.

Can you suggest what mobo will best fit to all these parts and would there be any problem if later I decide to use Vista? And what about the other (case, PSU, etc)?

The motherboard b1gapl suggested is a decent motherboard that will support all the parts he has suggested for you.

40GB would be enough, if you don't download or store a lot of files. That 160GB that I suggested, is really inexpensive, for the amount of space it offers. Or you can ditch the optical and hard drive, and go for an EVGA 7600GT.
