I have two Vista Business laptops (one with SP1, one without) that give me the following error message for EVERY file I attempt to make available offline:
"the process cannot access the file because it is being used by another process."
I've found several pages about this, and the following KB article that seems to pinpoint the cause:

However, I've encountered two problems in trying to implement this solution:
1) When I open Regedit on the server (Win Server 2003 Standard R2) and browse to HKEY_LOCAL_MACHINE\SYSTEM\CurrentControlSet\Services\LanmanServer\Parameters, the "EnableOpLocks" key is not there, so I cannot change it.
2) I read the following warning: "Note also that when you turn ON the OppLock feature, you will likely get database corruption from any database system that is not client-server." I'm running two SQL databases on this server. Would enabling OpLocks endager those databases?
