I want to connect 2 pcs without a hub directly with UTP cabling with OS-Win98SE. Please suggest the steps.

You will need to either make or buy a crossover cable to connect to the two computers. After that, it's a matter of assigning IP addresses within the same subnet in order to share files and/or resources.
