In my opinion, it would be best to clean the heatsink and processor after you remove it from the old board. Then apply some new thermal compound( i.e. Arctic Silver) before you re-install the processor and heatsink.

yea it is reccomended everytime u take off the cpu fan, u should apply a new layer of thermal compound.
